Subject list and preparation tips for CS Professional
CS Professional is the final stage to become a company secretary. It is important to understand the CS Professional syllabus and topics to prepare for the CS Professional exam 2024. There are a total seven subjects in which two are elective subjects and these are divided in two modules:

Subject wise preparation tips for CS Professional exam
Paper 1: ESG – Principles and Practice
In the CS Professional exam ESG is the first paper and this is all theory based paper. You have to understand the laws and principles of the environmental, social, and government. You have to focus on those topics which have more weightage. Understand the risk management techniques and apply these concepts with the help of the mock tests and case studies.
Paper 2: Drafting, Pleadings, and Appearances
This paper is divided into two parts, the first one is Drafting and Conveyancing (70 Marks) and the other one is Pleadings and Appearances (30 marks). You have to learn the laws, agreements, contract management, companies act 2013 etc.
Drafting and Conveyancing has more weightage so you should have more focus on those topics and try to understand the concepts.
Paper 3: Compliance Management, Audit & Due Diligence
To prepare for the compliance management, you have to understand the laws and regulations, and learn how to implement the compliance programs. Audit and Due Diligence has more weightage as compared to Compliance management. You should learn the different types of the audits, its objectives, audit standards, audit methodology, audits of due diligence, types and techniques of due diligence. You should memorize the correct standards to increase score in exams.
Paper 5: Strategic Management and Corporate Finance
Make sure you understand the fundamentals, analysis skills, planning, business policies, and formulations etc. of the strategic management. You have to focus on the sources of the corporate funds, raising funds, foreign funds, project evaluations, laws and procedures of the corporate finance. Try to write answer in technical language or words. It helps to increase your scores in the exams.
Paper 6: Corporate Restructuring, Valuation, and Insolvency
This paper is divided in three parts, the corporate restructuring is of 40 marks, the valuation is of 20 marks, and the insolvency is of 40 marks. You have to more focus on the first and third part as compared to second part. You should study the case studies, types of corporate restructuring, accounting treatments, accounting standards which are set by the ICSI. You may use the ICSI study material for better preparation.
Additional Preparation tips for CS Professional exam
- Understand the exam pattern and syllabus which are set by the ICSI. Know the importance of each topic and weightage of each section.
- For improve presentation attempt the previous year question papers, MTP’s.
- Try to prepare your own notes for revising the syllabus during the exam days.
